O’Gara Group to acquire BAE Systems division

The O’Gara Group, Inc. has entered into a definitive purchase agreement with BAE Systems Survivability Systems LLC to acquire BAE Systems Commercial Armored Vehicles LLC.

The O’Gara Group is a global provider of security products and services.

BAE Systems Commercial Armored Vehicles armors selected vehicle models for both government and commercial customers as well as producing transparent armor for the commercial and military markets.

This acquisition will reunite the founders of The O’Gara Group with the former O’Gara-Hess & Eisenhardt Armoring Company, which they built into one of the largest armored vehicle manufacturers in the world before its sale to Armor Holdings in 2001 and its eventual purchase by BAE in 2007. With this acquisition, The O’Gara Group solidifies its position as a significant supplier of armored vehicles in the US. The O’Gara Group currently has vehicle armoring facilities in San Antonio, Texas, and Fairfield, Ohio.

“We are pleased to have entered into an agreement to acquire the BAE Systems Commercial Armored Vehicles,” said Wilfred “Bill” O’Gara, CEO of The O’Gara Group. “We look forward to continuing the growth of our commercial armoring business and expanding the transparent armor business. This acquisition not only restores our heritage, it also advances our position and agility in the commercial armor market.”

The acquisition is anticipated to close in the fourth quarter of 2012 and is subject to customary closing conditions. The purchase price was not disclosed.
